Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Conduit (“Conduit,” “we,” “us”). They govern your access to and use of the Conduit website, our web and mobile applications (including our iOS and Android apps), and related services (together, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Who can use Conduit

You must be at least 18 years old and able to form a binding contract to use the Service. If you use Conduit on behalf of a business, you represent that you are authorized to bind that business to these Terms, and “you” refers to that business.

2. Your account

You are responsible for the information you provide, for keeping your login credentials secure, and for all activity that happens under your account. Notify us right away if you suspect unauthorized use. You agree to provide accurate information and to keep it up to date.

3. What Conduit does

Conduit gives service businesses tools to manage customers, quotes, jobs, schedules, invoices, payments, and a public presence, and connects homeowners with those businesses. Conduit is a software platform, not a party to the agreements between businesses and their customers. We do not perform the services that businesses offer, do not guarantee any job or outcome, and are not responsible for the quality, safety, legality, or timeliness of work arranged through the Service. Any dispute about work performed is between the business and its customer.

4. Payments and fees

Payments — including invoice payments and estimate deposits — are processed by our third-party payment provider (Stripe). By accepting payments through Conduit you also agree to the payment provider’s terms. Conduit charges a platform fee on payments processed through the Service and on payments you record in the Service as received outside it (for example, cash or check payments you or your customer log in the app). The current rate and any caps are shown in the app. Payment-processing fees charged by the provider are separate. Conduit does not sell digital content and has no subscription or paid tier — the Service is free to download and use, and every feature is available to every business at no charge.

If you save a payment method for platform billing, you authorize Conduit to charge fees you have already accrued to that payment method periodically (for example, monthly). This settles commission earned on completed transactions — it is not a subscription, and it buys no access or feature. If platform fees remain unpaid after reasonable notice, we may suspend your access until they are settled. You are responsible for any taxes associated with your use of the Service and with the work you perform or purchase. Except where required by law, fees are non-refundable.

5. Electronic signatures and records

The Service lets estimates and other documents be accepted electronically — for example by typing a name and drawing a signature. You agree that these electronic acceptances and signatures are valid, binding, and enforceable to the same extent as handwritten signatures, and you consent to receive and keep related records electronically. Businesses are responsible for confirming that electronic acceptance is appropriate for their documents and jurisdiction.

6. Acceptable use

You agree not to:

  • Use the Service for anything unlawful, fraudulent, deceptive, or harmful.
  • Send spam or messages that violate applicable communications laws (including TCPA/A2P rules).
  • Upload content you don’t have the rights to, or that is infringing, defamatory, or obscene.
  • Attempt to access accounts or data that aren’t yours, or to probe, scan, or breach security.
  • Interfere with, overload, or disrupt the Service, or reverse-engineer it except as permitted by law.
  • Use the public website builder to host malware, phishing, or content that violates these Terms.

We may suspend or terminate accounts that violate these Terms or put the Service or others at risk.

7. Your content

You retain ownership of the content you submit (such as customer records, logos, photos, and website content). You grant Conduit a worldwide, non-exclusive license to host, store, process, and display that content solely to operate and improve the Service and to provide it to the people you direct it to (for example, your customers). You are responsible for the content you upload and for having the rights and any consents needed to use it.

8. Reviews

Customers may post reviews of businesses on their public Conduit profiles. Reviews must reflect your genuine experience and comply with the acceptable-use rules above. By posting a review you grant Conduit a license to display it with the business’s profile. We do not verify every review, we are not responsible for their content, and we may (but are not obligated to) remove reviews that violate these Terms.

9. Messaging and contact consent

The Service can send emails, SMS text messages, and other notifications on your behalf and to you. By providing a phone number or email, you consent to receive operational messages related to your account and activity. Standard message and data rates may apply. You and your customers can opt out of non-essential messages as described in those messages.

SMS Messaging Terms

Conduit sends service-related text messages — quotes, appointment and job updates, invoices with payment links, and receipts — to customers who provide their phone number when requesting service from a contractor. Message frequency varies. Message and data rates may apply. For help, reply HELP or email support@conduitapp.net. To stop receiving messages, reply STOP at any time. 10. Third-party services and integrations

Conduit relies on third parties (for example, payment processing, hosting, mapping, email and SMS delivery, and the AI providers behind features such as estimate drafting, the Crew Chief assistant, and voice transcription). Our mobile apps are distributed through the Apple App Store and Google Play, and your use of them is also subject to those stores’ terms. Your use of these features may be subject to the third party’s terms, and we are not responsible for third-party services. If you connect a third-party account to Conduit — for example, signing in with Google or linking QuickBooks Online — you authorize Conduit to exchange data with that service on your behalf, subject to that service’s terms, and you can disconnect it at any time in your settings.

AI features

Some features use AI to draft content for you — estimates and their line items, website copy, and Crew Chief’s replies — and Crew Chief can accept spoken input, which is transcribed to text. AI output is a starting point, not professional advice: it can be wrong, incomplete, or unsuitable for a particular job. You are responsible for reviewing anything AI drafts before you send it to a customer, rely on it for pricing, or publish it. 11. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. You use the Service at your own risk.

12. Limitation of liability

To the maximum extent permitted by law, Conduit will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Service is limited to the greater of (a) the amounts you paid Conduit in the three months before the event giving rise to the claim, or (b) US $100.

13. Indemnification

You agree to indemnify and hold Conduit harmless from claims, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, your services to your customers, or your violation of these Terms or of any law or third-party right.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or others. Provisions that by their nature should survive termination (including ownership, disclaimers, and limitations of liability) will survive.

15. Governing law and disputes

These Terms, and any dispute arising out of or relating to them or to the Service, are governed by the laws of the State of Ohio, United States, without regard to its conflict-of-laws rules. You and Conduit agree that the state and federal courts located in Cuyahoga County, Ohio have exclusive jurisdiction and venue over any such dispute, and each party consents to personal jurisdiction there. Nothing here prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

16. General

These Terms, together with our Privacy Policy, are the entire agreement between you and Conduit about the Service, and replace any earlier agreements or understandings about it. If any provision is held unenforceable, that provision will be limited or removed to the minimum extent necessary and the rest of the Terms stay in full force. Our failure to enforce a provision is not a waiver of it. You may not assign or transfer these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is responsible for a delay or failure to perform caused by events beyond its reasonable control. These Terms do not create any agency, partnership, employment, or joint-venture relationship between you and Conduit.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example, in the app or by email). Your continued use of the Service after the changes take effect means you accept the updated Terms.
